HISTORY

Cellularline is currently the European reference brand in the market of accessories for smartphones and tablets.

Launched in 1990 by Cellular Italia S.p.A., a firm from Reggio Emilia, it was conceived as distributor for the first mobile phones, and the brand owes its leadership position to its extensive experience of over 25 years in the field of telephony.

It was the lack of autonomy of the E-TACS phones in the early years, that drove Cellular Italia S.p.A. to start producing mobile phone accessories, in particular the car charger, and launch a dedicated brand.

Shortly thereafter, thanks to success of this project, Cellular Italia S.p.A. began focusing its production on mobile phone accessories, abandoning the distribution of phones, consolidated its presence in Italy and began to export products abroad.

In 2005, Cellular Italia S.p.A. became a group, successfully imposing its leadership position in new distribution channels and new sectors, with accessories for, in addition to smartphones, also tablets and MP3 players.

Furthermore, in 2013 the majority shareholding of the company was taken over by L Capital, Private Equity Fund of the LVMH Group, marking a new evolutionary path towards internationalisation and brand statement: in addition to the 4 European branch offices (in Italy, France, Spain, Switzerland), the company now boasts an intercontinental distribution of the Cellularline brand in over 60 countries.

On 20th March 2018, a fundamental step was taken in the company’s history: the Business Combination between Ginetta S.p.A. and Cellular Italia (operating with Cellularline brand), to be implemented through the reverse take-over transaction consisting of the merger by incorporation of Ginetta S.p.A. and Cellular Italia S.p.A. into Crescita S.p.A. (special purpose acquisition company “SPAC”).

Thanks to this significant event, effective on 4th June 2018, Cellularline S.p.A. (formerly Crescita S.p.A.) was listed on the AIM Italia segment (Mercato Alternativo del Capitale) managed by Borsa Italiana S.p.A.

In April 2019, Cellularline started a further path of strengthening and growth, thanks to the acquisition of SYSTEMAITALIA (a mobile accessories company operating in Telco), which has collaborated for over 10 years with leading international operators in Central and Southern Europe.

2019 is a year full of historic milestones for Cellularline Group. In March 2019, in fact, the Company launched a project for the admission of ordinary shares and warrants on the Mercato Telematico Azionario (STAR segment) managed by Borsa Italiana S.p.A. ( “MTA”).

The purpose of this transition from the AIM Italia trading system to the MTA market is to benefit from greater liquidity of the security and, due to greater market interest and institutional investors, to have greater visibility on national and international reference markets, with consequent further advantages in terms of competitive positioning.

The project took shape on 22nd  July 2019, when, on the first ringing of the bell, trading began officially on the STAR segment.

L Capital (Private Equity Funds sponsored by LVMH Group) acquires the majority of the company and starts a new path towards internationalization and brand development
